Name of the Organization
The name of this organization shall be Bangladeshi-American Senior Citizens Association of California (BASCA), hereinafter referred to as the Association.
Office
The principal office of the Association shall be located at 123 N. Hoover St., Los Angeles, CA 90004. The Board of Directors may change the location as necessary.
Mission
The Association is dedicated to enhancing the quality of life for Bangladeshi-American senior citizens by providing social, educational, and welfare services that support their well-being, independence, and community engagement.
Vision
To build a strong, inclusive community where Bangladeshi-American seniors can thrive, stay engaged, and receive the support they need to lead fulfilling lives with dignity and respect.
Objectives
Provide assistance in healthcare, housing, and social services to ensure the well-being of senior citizens.
Organize community programs, workshops, and cultural activities to foster social interaction and lifelong learning.
Advocate for the rights and welfare of Bangladeshi-American seniors through legal support and policy recommendations.
Promote intergenerational engagement and mentorship to strengthen family and community ties.
Assist seniors in navigating government and community resources, including Medicare, Social Security, and other public benefits.
Encourage and support volunteerism among seniors to contribute their skills and experience to the broader community.

Organizational Structure
The organization shall be governed by a Board of Directors (BOD) and a General Body (GB). The Board of Directors will oversee policy decisions, financial matters, and strategic planning, while the General Body will consist of all members who participate in the Association’s programs and services.

Membership
Membership is open to all Bangladeshi-American senior citizens and individuals interested in supporting the mission of the Association. Membership benefits include access to programs, events, and services provided by the Association.

General Body (GB)
Composed of all registered members of the Association.
Holds an annual meeting to discuss organizational matters, review financial statements, and provide feedback on programs.
Elects the Board of Directors every two years through a fair and transparent voting process.
Members may propose initiatives or raise concerns that are addressed by the Board of Directors.
Board of Directors (BOD)
The Board of Directors is responsible for governance, policy-making, and overseeing operations. Board members shall serve a term of two (2) years. The structure of the Board and its key positions shall be determined as per the Association’s needs and may include, but are not limited to, positions such as President, Vice President, General Secretary, Finance Secretary, Organizing Secretary, Public Relations Secretary, and Cultural & Media Secretary. The Board shall:
Develop and implement strategic plans to achieve the Association’s mission.
Approve budgets, financial reports, and funding proposals.
Establish and oversee committees that support the Association’s programs.
Represent the Association in community and governmental affairs.
Ensure compliance with state and federal regulations for nonprofit organizations.

Removal of a Board Member
A Board member may be removed by a two-thirds (2/3) majority vote of the Board for misconduct, negligence, or failure to fulfill duties.
A written notice must be provided to the concerned member prior to removal, stating the reason for removal and allowing them an opportunity to respond.
If a Board member resigns or is removed, the Board shall appoint an interim replacement until the next General Body election.

Standing Committees
The Board may establish committees as needed, such as:
Finance & Fundraising Committee – Manages financial planning, fundraising initiatives, and grant applications.
Community Outreach & Events Committee – Organizes community programs, cultural events, and social gatherings for members.
Advocacy & Public Policy Committee – Engages in policy advocacy and legal support for senior citizens’ rights.
Health & Wellness Committee – Focuses on health education, fitness programs, and partnerships with healthcare providers.
Board of Trustees (BOT)
The Board of Trustees shall provide advisory support and long-term strategic guidance to the Association.
Trustees shall be appointed by the Board of Directors and may include community leaders, professionals, and donors who support the mission of the Association.
The Trustees shall meet annually to review the organization’s progress and provide recommendations.
Amendments to the By-Laws
Any amendment must be proposed in writing and approved by a two-thirds (2/3) majority vote of the General Body.
Proposed amendments shall be reviewed by the Board before being presented to the members.
Amendments shall be documented and updated in the official records of the Association.
Dissolution of the Association
In the event of dissolution, all assets shall be transferred to a recognized nonprofit organization serving a similar purpose, as required by law.
The Board shall oversee the proper distribution of assets in compliance with nonprofit regulations.
Corporate Seal & Records
The Association shall maintain official records, including meeting minutes, financial statements, and legal documents, to ensure transparency and accountability.
The corporate seal shall be kept in the principal office and used for official documents.
Fiscal Year
The fiscal year of the Association shall begin on January 1st and end on December 31st of each year. All financial transactions and reporting shall align with this timeline.
